Job Summary for Assistant Company Secretary:

To provide the Company Secretary with assistant and support with all company secretarial / corporate governance matters and to ensure that all aspects of the company secretarial / governance function of plc (an AIM listed company) are complied with.

Tasks, Duties & Responsibilities:

Company Secretarial: 
Maintenance of statutory databases for Group companies and preparation and submission of statutory forms and documents to Companies House for UK subsidiaries.
Liaison with legal advisers and corporate agents for the submission of statutory documents for non-UK subsidiaries. 
Arranging board/committee meetings, preparation of agenda and board/committee papers
Production and release of routine RNS announcements.
Maintenance of all corporate and supporting registers 
Preparation of Insider lists and ensuring compliance with Market Advise Regulations and Share Dealing Codes.
Advise on all employee share schemes (including Save As You Earn, Share Incentive Plans, Employee Share Options and Long Term Incentive Plans
Arranging for the additional listing of shares for issue under the various share schemes and liaison with Employee Benefit Trust
Preparation of AGM notice and making all necessary arrangements for AGM.
Maintenance of the Group corporate structure chart.
Minuting of board and committee meetings and occasional attendance 
Dealing with shareholder queries when required. 
Dealing with queries from non-executive directors when required.
Managing the relationship with the Registrars. 

Corporate Governance Duties: 
Review and update of terms of reference and policies to ensure compliance with corporate governance rules and regulations.
Drafting the attendant board papers for presentation to its plc Board.
Review and update of governance documents. 
Research and advice on governance matters and best practice as and when requested in relation to the Companies Act, AIM Rules and QCA Corporate Governance Code.
Review and update of the PLC website
Prepare the first drafts of the governance sections of the Annual Report. 
Coordinating advice to the board on corporate governance
Lead of Anti-bribery, corruption and whistleblowing, alongside other regulatory matters

Skills, Qualifications and Experience
The successful candidate will: 
Be either a qualified solicitor or accountant with an ICSA qualification
Have at least 24 months experience of company secretary work or a qualified company secretary with relevant experience 
Have legal knowledge specifically in company secretarial matters and company law a
Be proactive and enthusiastic.
Complete work efficiently, with high levels of accuracy and attention to detail.
Experience of working in a PLC environment is essential.
